Terms and Conditions
1. Definitions and Interpretation
1.1 In these Terms and Conditions, the following definitions shall have the following meanings:
- Account: The account that you, as a Client, can create via the Website of Maployer.com. It allows you to make use of the functionalities within the restricted area of the Website, whether free or paid.
- Terms and Conditions: These Terms and Conditions.
- Service: The services of Maployer.com,including providing links to job vacancies on the Client Website.
- User: A natural or legal person with an Account,either a Job Seeker or Client.
- Maployer.com: A trade name of ViaPenna Holding B.V., registered with the Chamber of Commerce under number: 55318002.
- Client: A natural or legal person with whom Maployer.com has entered into the Agreement.
- Agreement: Any agreement to which these Terms and Conditions apply.
- Party/Parties: Maployer.com and Client, individually or collectively.
- Job Seeker: A natural person, including freelancers, who uses the services of Maployer.com.
- Website: www.maployer.com.
1.2 Plural forms of definitions shall be read as references to the plural form of the meaning.
1.3 References in these Terms and Conditions to:
a third party are references to other persons;
an Article are references to an article of these Terms and Conditions.
1.4 Headings are for convenience only and have no independent meaning.
2. Applicability of Terms and Conditions
2.1 These Terms and Conditions apply to all agreements between the Client and Maployer.com, insofar as they relate to the services provided by Maployer.com.
2.2 These Terms and Conditions replace previous versions.
2.3 Client general terms and conditions are explicitly rejected.
2.4 Invalid provisions will be replaced by provisions that closely reflect the original intent.
2.5 Deviations from these Terms and Conditions are only binding if agreed upon in writing by Maployer.com.
2.6 Provisions intended to survive after termination of the Agreement shall remain in force.
3. Deviations and Amendments
3.1 Deviations from these Terms and Conditions only apply to the specific Agreement to which they pertain.
3.2 Maployer.com reserves the right to unilaterally amend these Terms and Conditions. The Client will be notified,unless the change is insignificant.
4. Formation of the Agreement
4.1 All offers, quotations, and price proposals from Maployer.com are non-binding, unless otherwise agreed.
4.2 The Agreement is formed when Maployer.com has confirmed it in writing.
5. Duration of the Agreement and Termination
5.1 The Agreement is entered into for a period of one month.
5.2 Early termination by the Client is not possible unless otherwise provided by law or mutually agreed.
5.3 The Agreement will terminate when Client has no vacancies on the Website.
6. Performance of the Agreement
6.1 Both Parties will execute the Agreement to the best of their abilities and insights.
6.2 If modifications are necessary for proper execution, the Parties shall timely engage in consultations.
7. Payment Terms
7.1 Maployer.com issues an invoice each month for the job listing, which must be paid within 10 days.
7.2 Payment is made by bank transfer.
7.3 If payment is not made on time, the Client is in default and will owe interest of 1% per month. Extrajudicial collection costs will amount to at least 15% of the principal sum, with a minimum of €225.
7.4 Maployer.com reserves the right to suspend services in case of non-payment.
7.5 In the event of the Client bankruptcy or suspension of payments, all claims become immediately due.
8. Termination of the Agreement
8.1 Maployer.com may terminate the Agreement with immediate effect in case of default on payment.
8.2 Maployer.com is not liable for damages resulting from termination of the Agreement.
9. Liability and Indemnification
9.1 Maployer.com strives for high-quality service but is not liable for indirect or consequential damages.
9.2 Liability is limited to a maximum of 20% of the agreed fee per incident, with a maximum of €5,000.
10. Intellectual Property
10.1 All intellectual property rights of works provided by Maployer.com belong to Maployer.com or its licensors.
10.2 The Client only obtains a non-exclusive right of use for the duration of the Agreement.
10.3 The Client is not permitted to reproduce or distribute the works provided by Maployer.com without prior permission.
11. Processing of Personal Data
11.1 Both parties shall handle personal data confidentially and comply with the GDPR.
11.2 Parties are independently responsible for the processing of personal data.
11.3 The Client will cooperate where necessary to ensure compliance with privacy laws.
12. Applicable Law and Jurisdiction
12.1 These Terms and Conditions are governed by Dutch law.
12.2 Disputes shall be submitted to the Amsterdam court, unless mandatory law provides otherwise.
